Cypress Announces Quarterly Cash Dividend

Cypress Semiconductor Corp. (NASDAQ: CY) today announced that its Board of Directors has approved a conditional quarterly cash distribution of $0.11 per share payable to holders of record of the Company’s common stock at the close of business on March 26, 2020. This dividend is expected to be paid on April 16, 2020.

The dividend will not be paid if the closing of the acquisition of Cypress by Infineon Technologies AG (“Infineon”) under the previously announced Agreement and Plan of Merger, dated June 3, 2019, occurs prior to the close of business on March 26, 2020 such that Cypress is a wholly-owned subsidiary of Infineon at that time.

Note About Dividends

Cypress’ distribution policy and the payment of cash distributions under that policy are subject to the Board’s continuing determination that the distribution policy and the declaration of dividends are in the best interests of Cypress’ stockholders and are in compliance with all laws and agreements of Cypress applicable to the declaration and payment of cash distributions.
