Facedrive Inc. (the “Corporation” or “Facedrive”) (TSX-V: FD) announces that it has granted to each of its independent directors, being Hamilton Jeyaraj, Paul Zed, William Kanters and Jay Wilgar: (i) 16,606 stock options (“Options”), 9,058 of which will entitle the holder thereof to purchase one common share of the Corporation (a “Common Share”) at a price of $19.00 per Common Share, 4,529 of which will entitle the holder thereof to purchase one Common Share at a price of $22.08 per Common Share and 3,019 of which will entitle the holder thereof to purchase one Common Share at a price of $33.12 per Common Share, each for a period of five years; and (ii) 8,303 restricted share units (“RSUs’), each of which will entitle the holder thereof to acquire one Common Share. The 66,424 Options and 33,212 RSUs vest as to one-third on each of the first, second and third anniversaries of the date grant. As of the date hereof, the Corporation has granted 115,951 Options and 82,739 RSUs.
