FIS Announces Proposed Offerings of Senior Notes

Fidelity National Information Services, FIS™, (NYSE:FIS), a global

to make offerings, subject to market and other considerations, of senior
notes denominated in Euro, Pounds sterling and U.S. dollars, each in one
or more tranches (the “Senior Notes”). FIS intends to use the net
proceeds from the Senior Notes offerings, together with commercial paper
borrowings, to provide funds for the cash portion of the merger
consideration for its pending merger with Worldpay, Inc. (“Worldpay”),
the repayment of outstanding Worldpay debt and costs and expenses of the
merger. Any remaining net proceeds would be used for general corporate
purposes. Pending such uses, FIS may invest the net proceeds from the
Senior Notes offerings temporarily in investment-grade securities,
money-market funds, bank deposit accounts or similar short-term
investments, or use such net proceeds to repay outstanding borrowings
under its existing commercial paper program or revolving credit facility.
