Kismet Acquisition Two Corp. (the “Company”) announced today that it priced its initial public offering of 20,000,000 units at $10.00 per unit. The units are expected to be listed on the Nasdaq Capital Market and trade under the ticker symbol “KAIIU” beginning February 18, 2021. Each unit consists of one Class A ordinary share and one-third of one redeemable warrant. Each whole warrant entitles the holder thereof to purchase one Class A ordinary share at a price of $11.50 per share. Once the securities comprising the units begin separate trading, the Class A ordinary shares and redeemable warrants are expected to be listed on the Nasdaq Capital Market under the symbols “KAII” and “KAIIW,” respectively.
The Company is a special purpose acquisition company (SPAC) led by Chairman and Chief Executive Officer, Ivan Tavrin, formed for the purpose of acquiring, engaging in a share exchange, share reconstruction and amalgamation, contractual control arrangement with, purchasing all or substantially all of the assets of, or engaging in any other similar initial business combination with one or more business entities. The Company may pursue an acquisition opportunity in any industry or sector located in any region, but intends to focus on businesses in the internet and technology sectors primarily operating in Europe, including Russia.
Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, and BofA Securities, Inc are acting as joint book-running managers for the offering. The Company has granted the underwriters a 45-day option to purchase up to an additional 3,000,000 units at the initial public offering price.
